Terms of Service

These Terms of Service (the “Terms”) govern your use of the Kayotte Membership platform and related services (the “Service”). The Service is operated by Kayotte (ABN 75 640 493 401), whose registered address is 1A / 67–69 Gamon Street, Seddon VIC 3011, Australia (“Kayotte”, “we”, “us”). By creating an account, starting a membership, or otherwise using the Service, you agree to these Terms.

1. The Service

Kayotte provides a members-only platform for Continuous Business Improvement™, including the Living Improvement Roadmap™, Opportunity Library™, dashboards, templates, and related tools and resources. The scope, features, and content of the Service may change from time to time.

2. Membership and eligibility

The Service is intended for use by business owners and their nominated team members. You must be at least 18 years old and legally able to enter into a binding contract. You are responsible for all activity that occurs under your account and for keeping your login credentials confidential.

3. Fees and billing

Kayotte Membership is offered as a recurring subscription at AUD $499 per month (inclusive of GST where applicable), unless a different price is stated on the checkout page you accept. Fees are billed monthly in advance to the payment method on file. You authorise us and our payment processor to charge that payment method for each renewal until you cancel.

Failed payments may result in the Service being paused or suspended. Prices may change on notice, and any price change will apply to renewals after the notice period.

4. Cancellations and refunds

You may cancel your membership at any time from your account settings or by contacting us. Cancellation stops future renewals; you retain access for the remainder of the paid period. Kayotte does not provide refunds for partial months or for periods already paid. See our Refund Policy for the full statement, including your rights under the Australian Consumer Law.

5. Acceptable use

You agree not to:

  • use the Service for anything illegal or fraudulent;
  • resell, sublicense, or make the Service available to anyone outside your organisation without our written consent;
  • attempt to reverse-engineer, scrape, or interfere with the Service or its security;
  • upload content that infringes intellectual property, privacy, or other rights, or that is defamatory, harmful, or misleading.

6. Your content and data

You retain ownership of the content and data you submit to the Service (“Your Content”). You grant Kayotte a non-exclusive licence to host, process, and display Your Content for the purpose of operating and improving the Service for you. We handle personal information in accordance with our Privacy Policy.

7. Our intellectual property

Kayotte, the Kayotte Method™, Continuous Business Improvement™, Living Improvement Roadmap™, Opportunity Library™, Business Momentum™, and Business Improvement Score™ are trademarks of Kayotte. All software, designs, playbooks, templates, and other materials made available through the Service are owned by Kayotte or its licensors and are licensed to you for internal business use during your membership only.

8. Service availability

We aim to keep the Service available and reliable but do not guarantee that it will be uninterrupted or error-free. We may suspend or modify the Service for maintenance, upgrades, security, or legal reasons.

9. Disclaimers

To the extent permitted by law, the Service is provided “as is”. Kayotte provides tools, guidance, and information — not professional legal, financial, accounting, tax, or regulatory advice. You are responsible for how you apply the Service to your business.

10. Consumer guarantees and liability

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot lawfully be excluded, including under the Australian Consumer Law. Where liability can lawfully be limited, our aggregate liability to you for any claim relating to the Service is limited to the fees you paid to us in the three (3) months immediately before the claim arose.

11. Termination

You may stop using the Service at any time by cancelling your membership. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to us, other members, or third parties. On termination, your right to use the Service ends and we may delete your data in accordance with our Privacy Policy.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify members through the Service or by email before they take effect. Continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of Victoria, Australia. The courts of Victoria have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service, except that either party may seek urgent injunctive relief in any court of competent jurisdiction.
